Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and AirBills, Inc., a Delaware corporation ("AirBills," "we," "us," or "our"). By accessing or using our utility management platform, website, APIs, or any related services (collectively, the "Services"), you agree to be bound by these Terms.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not accept these Terms and may not use the Services.

2. Eligibility

To use our Services, you must:

• Be at least 18 years of age
• Be authorized to act on behalf of the business entity using the Services
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Services under applicable law

3. Account Registration

To access certain features of the Services, you must register for an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that contain inaccurate information or violate these Terms.

4. Service Description

AirBills provides an AI-powered utility management platform designed for property managers and residents. Our Services include:

• Automated tenant utility billing and cost allocation
• Utility bill extraction and processing
• Integration with property management systems
• Resident payment portals and billing transparency
• Compliance management and reporting
• AI-powered analytics and insights
• Rate optimization and savings analysis

5. Acceptable Use Policy

You agree not to use the Services to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights of others
• Transmit malicious code, viruses, or harmful data
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Services or servers
• Engage in fraudulent or deceptive practices
• Collect user data without authorization
• Use automated systems to access the Services without permission
• Reverse engineer or decompile any part of the Services
• Resell or redistribute the Services without authorization

6. Intellectual Property

The Services, including all content, features, and functionality, are owned by AirBills, Inc. and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. This license does not include the right to:

• Modify or create derivative works of the Services
• Use any data mining, robots, or similar data gathering methods
• Download or copy account information for another party
• Use the Services for any commercial purpose not authorized by AirBills

7. Third-Party Integrations

Our Services integrate with third-party platforms and services, including but not limited to:

• Property management systems (e.g., Yardi, Yardi Breeze)
• Utility providers and billing systems
• Payment processing services
• Cloud infrastructure providers

Your use of third-party integrations is subject to the respective third party's terms of service and privacy policies. We are not responsible for the practices of third-party services.

8. Payment Terms

Certain features of the Services require payment of fees. By subscribing to paid Services, you agree to:

• Pay all applicable fees as described in your service agreement
• Provide accurate billing information
• Authorize us to charge your payment method for recurring fees

Fees are non-refundable except as expressly set forth in your service agreement or as required by law. We reserve the right to modify pricing with 30 days' notice.

9. Data Handling

Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and protect your information. By using the Services, you consent to the collection and use of your data as described in the Privacy Policy.

You retain ownership of all data you submit to the Services. You grant AirBills a non-exclusive license to use, process, and store your data solely to provide the Services.

10. Service Availability

We strive to maintain high availability of our Services. However, we do not guarantee uninterrupted access. The Services may be temporarily unavailable due to:

• Scheduled maintenance (with reasonable advance notice)
• Emergency maintenance or security updates
• Factors beyond our reasonable control

Enterprise customers may be entitled to specific service level commitments as outlined in their service agreement.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT MAKE ANY WARRANTIES REGARDING THE ACCURACY OR COMPLETENESS OF ANY CONTENT OR DATA PROVIDED THROUGH THE SERVICES.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIRBILLS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO AIRBILLS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

13. Indemnification

You agree to indemnify, defend, and hold harmless AirBills, its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of another party
• Any data or content you submit through the Services

14. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your access to the Services immediately, without prior notice, if:

• You breach any provision of these Terms
• We are required to do so by law
• We discontinue the Services

Upon termination, your right to use the Services will cease immediately. Sections that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, limitations of liability, and dispute resolution.

15. Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by JAMS in Santa Clara County, California. The arbitration shall be conducted by a single arbitrator in accordance with JAMS Streamlined Arbitration Rules.

You agree that any arbitration shall be conducted on an individual basis and not as a class, consolidated, or representative action. If this class action waiver is found unenforceable, the dispute shall be resolved in the state or federal courts located in Santa Clara County, California.

16. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on our website at least 30 days before the changes take effect.

Your continued use of the Services after the effective date of the revised Terms constitutes acceptance of the changes. If you do not agree to the modified Terms, you must discontinue use of the Services.
